1. Acceptance of Terms
By accessing or using Express B2B ("the Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these terms. If you do not agree to these terms, do not use the Service.
2. Description of Service
Express B2B is a B2B ordering platform that enables distributors to manage customer accounts, product catalogs, pricing tiers, order workflows, and invoicing. The Service is provided on a subscription basis and is intended exclusively for business use.
3. Accounts and Access
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use. Workspace administrators are responsible for managing user access within their organization.
We reserve the right to suspend or terminate accounts that violate these terms, engage in fraudulent activity, or pose a security risk to the platform or other users.
4. Subscription and Payment
Access to the Service requires a paid subscription. Subscription fees are billed in advance on the agreed billing cycle. All fees are non-refundable except as expressly stated herein or required by law. We reserve the right to change pricing with 30 days' written notice.
Failure to pay may result in suspension of your account. You are responsible for all taxes applicable to your subscription.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Reverse engineer, decompile, or attempt to extract source code
- Resell or sublicense the Service without written permission
- Upload or transmit malicious code, viruses, or harmful content
- Interfere with the integrity or performance of the Service
- Attempt unauthorized access to any part of the Service or its infrastructure
6. Data and Content
You retain ownership of all data you submit to the Service. By using the Service, you grant us a limited license to store, process, and display your data solely to provide the Service. We will not access your data except to provide support, ensure security, or as required by law.
7. Intellectual Property
The Service, including its software, design, and content, is owned by Express B2B and protected by US intellectual property laws. These terms do not grant you any rights to our trademarks, logos, or proprietary technology.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Express B2B shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability to you for any claims under these terms shall not exceed the fees paid by you in the 12 months preceding the claim.
9. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
10. Governing Law and Disputes
These terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.
11. Changes to Terms
We may modify these Terms at any time. Material changes will be communicated via email or in-platform notice at least 30 days in advance. Continued use of the Service after the effective date constitutes acceptance of the revised terms.
